Terms of Service

Last updated 14 October 2026

These terms are the agreement between you and Heath Design Studio, which operates BrandLocker ("we", "us"). They apply when you create a studio account or otherwise use BrandLocker. By creating an account you agree to them. If you are signing up for a business, you are agreeing on its behalf and confirm you have authority to do so.

Our Privacy Policy explains how we handle personal information, and forms part of these terms.

1. The service

BrandLocker lets a design studio build brand kits for its clients (logos, colours, fonts, files and guidelines) and share each one through a private portal link that the client can open without an account.

We are improving BrandLocker all the time, so features may be added, changed or removed. If we remove something that is a significant part of a paid plan, we will give you reasonable notice.

Beta period

While BrandLocker is in beta, it is offered to testers as an early version. Features may change, break or be removed without notice, and although we take care with your content, you should keep your own copies of everything you upload. We may end free or discounted beta access, or reset beta accounts, by giving you reasonable notice by email. Feedback you send us during the beta may be used to improve BrandLocker. The rest of these terms apply to the beta as they do to any plan.

2. Your account

  • You must be at least 18 and give accurate details when you sign up.
  • Keep your password to yourself. You are responsible for what happens under your account, so tell us straight away if you think someone else has access to it.
  • Anyone you give access to a brand kit (for example by sharing it with another studio) acts under your account's responsibility for that kit.

3. Plans, billing and cancellation

  • Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically at the end of each period until you cancel. Prices are shown in the currency displayed when you choose a plan and include GST where it applies.
  • You can change plan or cancel at any time from your dashboard. A cancellation takes effect at the end of the period you have already paid for, and you keep access to your plan until then.
  • Refunds. We do not refund part periods or unused time, except where the law requires it. Nothing in these terms limits your rights under the Australian Consumer Law, including to a refund for a major failure of the service.
  • If a payment fails and is not fixed, we may move your account to a lower plan or restrict it until it is.
  • We may change plan prices. We will tell you by email at least 30 days before a new price applies to you, and it takes effect from your next renewal, so you have time to change plan or cancel.
  • Each plan has limits, such as the number of brand kits or files. If you move to a plan with lower limits, you may need to remove content before you can add more.

4. Your content

It stays yours. You own the brand kits, files and other content you upload ("your content"). We do not claim any ownership of it.

The licence you give us. You give us a non-exclusive, worldwide, royalty-free licence to store, copy, process, display and deliver your content, only as needed to run BrandLocker for you: for example to create previews and thumbnails, serve it on your portals, send it to Canva when a visitor asks, and keep backups. This licence ends when your content is deleted, apart from copies in backups that expire on their normal cycle.

You need the rights to what you upload. You promise that you own your content or have permission to upload and share it, and that sharing it through BrandLocker does not break anyone else's rights or any law.

Fonts in particular. Many font licences do not allow a font file to be passed on to another person or business. If you upload font files, it is your responsibility to check that the licence lets you distribute them to your client through a portal. When in doubt, link to where the client can licence the font instead of uploading the file.

Personal information in your content. If your content includes personal information about other people, you are responsible for having collected it lawfully and for telling them, where required, that it is stored with a service like ours. For that content, we act on your instructions.

5. Sharing portal links

A portal link opens a brand kit without a login. That is the point of it, and it means anyone who has the link can see the portal, including people it has been forwarded to. You decide what to publish and who to send the link to. You can unpublish a portal, regenerate its link or add a password at any time, and you should do so if a link goes further than you intended.

Features you turn on for a portal, such as sharing by email, Print Room requests or Send to Canva, let visitors take actions through your portal. Anything visitors send you through the Print Room is between you and them.

6. Acceptable use

You must not use BrandLocker to:

  • upload or share content that is illegal, infringes someone's intellectual property, or is defamatory, hateful or sexually explicit
  • store or distribute malware, or use a portal as a general file host for content unrelated to brand kits
  • send spam or unsolicited email, including through the share-by-email feature
  • try to get into accounts, portals or data that are not yours, or test or bypass our security without our permission
  • overload, scrape or disrupt the service, or resell it without our written agreement

If you find a security problem, please tell us privately through the Feedback button or at info@brandlocker.app.

7. If someone believes their rights are infringed

If you believe content on a BrandLocker portal infringes your copyright or other rights, email info@brandlocker.app with the portal link and details of the rights concerned. We may remove or disable access to the content while we look into it, and we will let the studio responsible know.

8. Our intellectual property

BrandLocker's software, design and name belong to us. These terms give you the right to use the service, not any ownership of it. If you send us feedback or ideas, we may use them without owing you anything.

9. Third-party services

Some features rely on other services, such as Stripe for payments, Google for sign-in and Canva for Send to Canva. Your use of those services is also governed by their own terms. We are not responsible for them, and a feature may stop working if one of them changes or withdraws its service.

10. Availability and backups

We work to keep BrandLocker available and your content safe, but we do not promise it will be uninterrupted or error free. BrandLocker is a way to share your brand kits, not a backup service: keep your own copies of the original files.

11. Suspension and termination

  • You can stop using BrandLocker and ask us to close your account at any time.
  • We may suspend or close your account if you seriously or repeatedly break these terms, if you do not pay, or if we need to in order to comply with the law or protect other users. Where it is reasonable to, we will warn you first and give you a chance to fix the problem.
  • If we decide to shut BrandLocker down, we will give you at least 30 days' notice so you can download your content, and refund any prepaid time you have not used.
  • After an account is closed, we delete its content as described in our Privacy Policy.

12. Consumer law and our liability

Under the Australian Consumer Law, you may have guarantees that cannot be excluded, such as that the service will be supplied with due care and skill. Nothing in these terms excludes, restricts or changes those rights.

To the extent the law allows:

  • where our liability for failing to meet a consumer guarantee can be limited, it is limited to supplying the service again or paying the cost of having it supplied again
  • we are not liable for indirect or consequential loss, such as lost profits, lost business or lost data, however it is caused
  • our total liability to you for anything arising from BrandLocker is limited to the amount you paid us in the 12 months before the claim arose

Your responsibility to us. You agree to cover any loss, cost or claim we face because of your content, or because you broke these terms or the law, except to the extent we caused it.

13. Changes to these terms

We may update these terms from time to time. If a change is significant, we will tell you by email at least 30 days before it takes effect. If you keep using BrandLocker after that, you accept the new terms; if you do not agree, you can cancel before they take effect.

14. General

  • These terms are governed by the law of Queensland, Australia, and the courts of Queensland have jurisdiction over any dispute.
  • If any part of these terms turns out to be unenforceable, the rest still applies.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your account or these terms to someone else without our agreement. We may transfer them as part of a sale or restructure of the business.
